SUPPLIER NON-DISCLOSURE AGREEMENT (NDA)
This Non-Disclosure Agreement ("Agreement") is entered into between SupplyBridge ("Platform") and the Supplier accessing the Platform.
1. PURPOSE
This Agreement governs the Supplier's access to confidential information shared by Buyers and the Platform, including but not limited to:
- Buyer company information and contact details
- Request for Information (RfI) and Request for Quotation (RfQ) documents
- Technical drawings, specifications, and designs
- Pricing information, volumes, and commercial terms
- Business strategies and sourcing requirements
2. CONFIDENTIALITY OBLIGATIONS
The Supplier agrees to:
a) Maintain strict confidentiality of all Buyer and Platform information
b) Use the information solely for the purpose of responding to RfIs/RfQs
c) Not disclose confidential information to third parties without prior written consent
d) Implement reasonable security measures to protect confidential information
e) Return or destroy confidential information upon request
3. PERMITTED DISCLOSURES
Confidential information may be shared only with:
- Employees who need to know for business purposes
- Professional advisors bound by confidentiality obligations
- Subcontractors with prior written approval and appropriate NDAs in place
4. PROHIBITED ACTIONS
The Supplier shall not:
- Copy, reproduce, or distribute confidential documents without authorization
- Use confidential information for competitive purposes
- Share RfI/RfQ details on social media or public forums
- Contact Buyers directly outside of Platform-facilitated communication
- Reverse-engineer or replicate proprietary designs or processes
5. DATA PROTECTION
The Supplier acknowledges that personal data shared through the Platform is subject to applicable data protection laws (GDPR, CCPA, etc.) and agrees to:
- Process personal data only as necessary for RfI/RfQ responses
- Implement appropriate technical and organizational security measures
- Report any data breaches to the Platform within 24 hours
- Delete personal data when no longer needed for the stated purpose
6. DURATION
This Agreement remains in effect for the duration of the Supplier's access to the Platform and for five (5) years thereafter, or until confidential information becomes publicly available through no fault of the Supplier.
7. REMEDIES
Breach of this Agreement may result in:
- Immediate suspension or termination of Platform access
- Legal action for damages and injunctive relief
- Reporting to relevant industry associations and authorities
8. ACKNOWLEDGMENT
By clicking "I Agree," the Supplier acknowledges that they have read, understood, and agree to be bound by the terms of this Non-Disclosure Agreement.
